These terms describe QuoteSketch as it works today. QuoteSketch is an actively developed software-as-a-service product: as the Service grows, these Terms may be updated to reflect new functionality, account features, subscription options, service providers and applicable legal requirements.
Plans, prices and plan limits shown on this website may change, and nothing on this page fixes them. Where a term depends on something not yet in place — a paid subscription, for example — this document says so plainly rather than committing us to it in advance. These Terms describe the Service and set out the agreement between you and us; they are not legal advice.
1. Acceptance of these terms
These Terms of Service (“Terms”) govern your access to and use of the QuoteSketch website and application (together, the “Service”), a software-as-a-service platform for creating, managing, previewing, printing and exporting business quotations. “QuoteSketch”, “we” and “us” refer to the provider of the Service.
By using the Service, or by accepting these Terms when the Service asks you to, you agree to be bound by them. If you do not agree, do not use the Service. QuoteSketch records which version of these Terms you accepted, so that a materially changed version can be recognised as new and put to you again.
These Terms should be read together with the Privacy Policy, which forms part of your agreement with us.
2. What the Service is
QuoteSketch is a tool for creating, previewing, printing and exporting quotation documents, and for saving business information so that it can be reused on later quotations.
Part of the Service is available without an account (“guest use”): you can produce a complete quotation and print or download it without registering. A guest quotation is not saved and carries a small “Created with QuoteSketch” line in its footer. Other functionality — saving quotations, saved clients, items and other reusable records, branding, additional pages and similar features — requires an account and, in some cases, a paid plan.
The Service produces documents. It does not send quotations to your customers, take payment from them, or form a contract between you and them.
3. Eligibility
You must be legally capable of entering into a binding agreement in your jurisdiction. If you use the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms, and “you” means that organisation.
4. Accounts and responsibility
You are responsible for keeping your account credentials confidential and for all activity that takes place under your account. Tell us promptly at support@quotesketch.com if you believe your account has been used without your authorisation.
You are responsible for the accuracy of the information you register with, and for keeping it current.
Note that, as described in the Privacy Policy, your quotations and saved business information are held by your browser on the device you work on. Protecting access to that device, and keeping your own copies of anything important, is part of your responsibility rather than ours.
5. Acceptable use
You may use the Service only for lawful purposes and in accordance with these Terms. You must not:
- use the Service to produce fraudulent, deceptive or misleading documents, or to impersonate another business;
- infringe the intellectual property, privacy or other rights of anyone else, including by uploading a logo, image or content you have no right to use;
- upload unlawful, harmful or malicious content, or anything designed to interfere with the Service;
- attempt to gain unauthorised access to the Service, to another user's data, or to any system connected to it;
- probe, scan, overload or disrupt the Service, or circumvent any limit, security measure or plan restriction;
- copy, resell, sublicense or make the Service available to third parties as your own service; or
- use automated means to extract the Service's content or to create a substitute for it.
6. Your content and quotations
You retain ownership of everything you enter into the Service: company details, customer details, items, prices, taxes, terms, bank details, logos, images, attachments and the quotations themselves (“your content”).
You are solely responsible for your content — for its accuracy, completeness, legality and appropriateness, for having the right to use it, and for reviewing every quotation before you use, print, send or rely on it. A quotation is a commercial document with consequences; the Service lays it out, but it does not check it.
You grant us only the limited licence necessary to host, process and display your content in order to provide, maintain and improve the Service, subject to the Privacy Policy. We claim no ownership of your content and we do not use the contents of your quotations for advertising.
Where you enter another person's personal information into a quotation — a customer contact, for example — you are responsible for having a lawful basis to do so under the laws that apply to your business.
7. No professional advice
QuoteSketch does not provide legal, tax, accounting, financial, commercial or contractual advice, and nothing produced by the Service is such advice.
A quotation you generate is not guaranteed to be legally valid, tax compliant, commercially appropriate or suitable for any particular jurisdiction. Tax rates, tax treatment, required disclosures, currency handling and contractual wording are yours to determine. Obtain professional advice where you need it.
8. Intellectual property
The Service — including the QuoteSketch name and branding, the software, the document layouts, the interface and the design — is owned by us or our licensors and is protected by intellectual property laws. These Terms grant you no rights in it beyond the limited right to use the Service as intended.
You must not remove, obscure or alter any notice of ownership in the Service, including the “Created with QuoteSketch” line that appears on guest quotations.
Feedback you send us about the Service may be used freely and without obligation to you.
9. Third-party services
The Service relies on third parties to reach you — a hosting provider, content delivery networks for fonts and icons, an email provider for support correspondence. The Service may also link to third-party websites. We do not control third-party services, are not responsible for them, and your use of them may be governed by their own terms.
10. Service availability
We aim to keep the Service available and working, but we do not warrant that it will be uninterrupted, timely, secure or error-free. Maintenance, updates, changes and factors outside our control may cause downtime or affect functionality.
We may change, suspend or discontinue any part of the Service. Where a change would remove functionality you depend on and we are able to give notice, we will try to do so.
11. Free and paid plans
Some functionality is free. Guest use requires no account at all, and an account tier is offered without charge.
Other functionality is or may be offered under a paid plan. Plan names, prices, feature sets and usage limits are not fixed by these Terms. Any figures shown on the QuoteSketch website while the product is in development are indicative and may change.
The terms that apply to a paid plan — what it includes, what it costs, what limits apply, the billing period, renewal, cancellation and refunds — are the ones presented to you at the point of purchase, and those terms apply in addition to these Terms. Where the two conflict on a matter of price, plan content or limits, the terms presented at the point of purchase prevail.
Usage limits may apply to any plan, including free ones, in order to keep the Service working for everyone. Where a limit applies, the Service will tell you what it is.
12. Billing
QuoteSketch does not currently operate a payment provider, and no payment card details are collected by the Service today.
If and when paid plans are offered, billing will be handled by a payment provider identified at the point of purchase, and the applicable plan terms will set out the charge, the billing period, how renewal works, how to cancel, and what refund rights apply — including any rights you have under consumer law that cannot be excluded. Taxes may be added where required. Nothing on this page should be read as a commitment to a particular price, billing period or refund policy; the terms that apply to any paid plan are the ones presented to you at the point of purchase, and those are the terms you will be asked to accept before any charge is made.
13. Termination
You may stop using the Service at any time. Where you hold an account, you may ask us to close it by writing to support@quotesketch.com.
We may suspend or terminate your access if you breach these Terms, if your use puts the Service or other users at risk, or where we are required to do so by law. Where it is reasonable and lawful to do so, we will tell you why.
Because your quotations and saved business information are held by your browser, closing an account does not delete them from your device, and we cannot delete them for you — you remove them from within the Service or by clearing your browser's data for the site. Equally, we hold no copy to return to you, so export anything you want to keep before you stop using the Service.
Sections that by their nature should survive termination — including sections 6, 8, 14, 15, 16, 18 and 19 — continue to apply.
14. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
We do not warrant that the Service will meet your requirements, that a quotation it produces will be suitable for your purpose, or that defects will be corrected.
15. Limitation of liability
To the maximum extent permitted by applicable law, we are not liable for:
- indirect, incidental, special, punitive or consequential loss;
- loss of profit, revenue, business, goodwill, contracts or anticipated savings;
- loss of or damage to data, including quotations and saved business information lost when browser data is cleared, a device fails, or a browser session is not exported; or
- loss arising from an error, omission or inaccuracy in information you entered or relied upon, or from downloading, printing, emailing or sending a quotation.
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with the Service is limited to the amount you have paid us for the Service in the twelve months before the claim arose. QuoteSketch is currently offered without charge, so for most users that amount is nil. If paid plans are introduced, any different or additional limit will be set out in the terms presented at the point of purchase.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud, or under consumer protection laws that apply to you.
16. Indemnification
To the extent permitted by applicable law, you agree to indemnify us against claims, losses and reasonable costs arising from your content, from your use of the Service in breach of these Terms, or from your infringement of a third party's rights.
17. Changes to the Service and these terms
We may update these Terms as the Service develops. The version identifier and update date at the top of this page tell you which version you are reading.
Where a change is material we will make it visible rather than quiet, and where the law requires it we will ask you to review and accept the updated version before you continue to use the Service. Otherwise, continued use after an updated version takes effect constitutes acceptance to the extent permitted by law.
18. Governing law and disputes
Before starting formal proceedings, we would ask you to write to support@quotesketch.com so that we have a chance to resolve the matter. Most questions about the Service are answered quickest that way, and we would rather deal with a problem directly than have you take it further.
These Terms do not designate a governing law or an exclusive forum for disputes. A dispute that cannot be settled between us directly will be dealt with through whatever legal process is properly available to the parties under the law that applies to them. A governing law and forum will be set out in this section if and when one is selected, and the version identifier above will change when it is.
Nothing in this section removes any right you have to bring proceedings in your own country of residence where the law gives you that right, or to rely on mandatory provisions of your local law.
19. General
- Severability. If any provision is found unenforceable, the rest of these Terms continues in effect.
- No waiver. A failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or transfer of the business.
- Entire agreement. These Terms, the Privacy Policy and any plan terms presented at the point of purchase are the entire agreement between you and us regarding the Service.
- No third-party rights. These Terms do not give rights to anyone who is not a party to them, except where the law provides otherwise.
- Force majeure. We are not responsible for failures or delays caused by events beyond our reasonable control.
